3. Project Scope and Timeline

4. Payment Terms

Our pricing is transparent and competitive. Payment structure:

• •50% deposit required before project commencement
• •25% due upon design approval and midpoint milestone
• •25% final payment upon project completion and handover

All prices are quoted in Nigerian Naira (₦) unless otherwise specified. Payment can be made via bank transfer or approved payment platforms. Late payments may result in project delays.

5. Client Responsibilities

To ensure smooth project execution, clients agree to:

• •Provide all necessary content (text, images, logos) in a timely manner
• •Respond to queries and feedback requests within 24-48 hours
• •Review and approve designs and features at each project milestone
• •Provide access to hosting, and third-party services as needed (Domain and Official email accounts not included for the first 1 year)
• •Communicate any changes or concerns promptly

Delays in providing required information may extend the project timeline and could incur additional costs for extended development time.

6. Intellectual Property Rights

Upon full payment, you will own the final website design and custom code developed specifically for your project. However:

• •Yemosei Technologies retains rights to reusable code frameworks and templates
• •Third-party plugins, themes, and libraries remain under their respective licenses
• •You are responsible for obtaining proper licenses for any stock images, fonts, or premium resources
• •Yemosei Technologies reserves the right to showcase your website in our portfolio unless otherwise agreed

7. Revisions and Changes

Each package includes a specified number of revision rounds:

• •Personal Portfolio: 2 revision rounds
• •E-Commerce Website: 3 revision rounds
• •Corporate Website: 3 revision rounds
• •NGO Website: 2 revision rounds

Additional revisions beyond the included rounds will be charged at our hourly rate. Major scope changes may require a revised proposal and additional payment.

8. Website Hosting and Maintenance

Yemosei does not provide hosting services but can recommend reliable hosting providers. You are responsible for:

• •Purchasing and maintaining your domain name (first 1 year not included)
• •Securing appropriate web hosting services
• •Website backups and security updates
• •SSL certificate installation and renewal

We offer optional maintenance packages for ongoing support, updates, and security monitoring at competitive rates.

9. Warranties and Limitations

We guarantee that all websites we deliver will:

• •Function as specified in the project scope
• •Be responsive across major devices and screen sizes
• •Be compatible with current versions of major browsers
• •Be free from coding errors for 30 days post-launch

We do not guarantee specific search engine rankings, traffic levels, or business outcomes. Website performance depends on various factors including content, hosting quality, and ongoing maintenance.

10. Support and Bug Fixes

We provide 30 days of complimentary post-launch support for bug fixes and technical issues directly related to our development work. This includes:

• •Resolving display issues
• •Correcting coding errors
• •Addressing compatibility problems

Support does not cover content updates, new feature requests, or issues caused by third-party services, hosting problems, or client modifications.

11. Confidentiality

We respect your privacy and confidentiality. Any sensitive business information, proprietary data, or trade secrets shared during the project will be kept strictly confidential.

We will not share your information with third parties except as necessary to complete the project (e.g., hosting setup) or as required by law.

12. Project Cancellation

Either party may cancel the project with written notice. In the event of cancellation:

• •Client cancellation: Deposit is non-refundable; payment for completed work is due
• •Yemosei Technologies cancellation: Full refund of payments received, minus costs already incurred
• •Work completed up to cancellation point will be delivered to the client

13. Limitation of Liability

Yemosei Technologies total liability for any claim arising from our services shall not exceed the total amount paid for the specific project in question.

We are not liable for indirect, consequential, or incidental damages including loss of profits, data loss, or business interruption.

We are not responsible for damages caused by third-party services, hosting failures, or events beyond our reasonable control.

14. Dispute Resolution

In the event of any dispute, both parties agree to first attempt resolution through good-faith negotiation.

If negotiation fails, disputes will be resolved through mediation before pursuing legal action.

These terms are governed by the laws of the Federal Republic of Nigeria, and any legal proceedings shall be conducted in Lagos, Nigeria.

15. Updates to Terms

Yemosei Technologies reserves the right to update these Terms and Conditions at any time. Changes will be posted on our website with an updated effective date.

Existing projects will remain under the terms agreed upon at project commencement.

Continued use of our services after changes are posted constitutes acceptance of the updated terms.
